A straightforward working agreement
These Terms of Service explain the general conditions for working with GenWright across website strategy, design, development, custom business systems, and related digital services.
Your individual proposal or project agreement will define the exact scope, deliverables, timeline, payment structure, and responsibilities for your project. Where those terms differ from this page, the project agreement takes priority.
By approving a proposal, paying a deposit, or instructing GenWright to begin work, you agree to these Terms.
1. The Services We Provide
1.1 Services
GenWright provides services including website strategy, positioning, messaging, design, development, landing pages, ongoing website support, brand and digital design, custom business systems and related digital services.
1.2 Project-Specific Services
The exact services included in each engagement will be described in the applicable proposal or project agreement. Services not included in the agreed scope are not automatically included in the project fee.
2. Scope of Work
2.1 Agreed Scope
Before work begins, the project scope will outline the main deliverables, responsibilities, timeline and project fee.
The scope may include website pages, screens, system modules, functionality, integrations, design work, development, CMS requirements, workflows or other agreed deliverables.
2.2 Changes to Scope
If project requirements change after work begins, GenWright will review the effect on cost and timeline before proceeding.
Additional pages, features, integrations, workflows, major design changes or new requirements may be treated as additional scope.
2.3 Additional Work
GenWright will not intentionally begin chargeable work outside the agreed scope without discussing it with the client first.
3. Revisions and Approvals
3.1 Included Revisions
The number of revision rounds included in a project will be stated in the proposal or project agreement.
A revision is intended to refine an agreed direction rather than replace it entirely.
3.2 New Directions
A substantially different creative direction, new feature, new page, changed workflow or major alteration to previously approved work may be treated as additional scope.
3.3 Approval
Once a project stage has been approved, later changes to that stage may require additional time and fees.
Written approval given through email, project-management software, messaging platforms or another agreed communication channel will be treated as valid approval.
4. Client Responsibilities
4.1 Required Information
The client is responsible for providing the information, content, feedback, access and approvals reasonably required to complete the project.
4.2 Client Materials
The client is responsible for ensuring that any text, images, logos, fonts, data, software, credentials or other materials supplied to GenWright can lawfully be used.
4.3 Delays
Where required information, feedback or approval is delayed, the project timeline may be adjusted accordingly.
5. Communication
5.1 Communication Channels
Project communication may take place through email, shared documents, project-management tools, messaging platforms, Loom or scheduled calls.
5.2 Primary Contact
Where possible, the client should appoint one primary contact responsible for consolidating feedback and approvals.
Conflicting or fragmented feedback from multiple stakeholders may affect the project timeline.
6. Payment
6.1 Payment Structure
The applicable proposal or agreement will state the payment structure for the project.
Projects may require an initial deposit followed by milestone payments or a final balance.
6.2 Deposits
Where a deposit is required, the project is not considered confirmed until payment has been received.
Deposits are generally non-refundable once project work has started.
6.3 Late Payments
If an invoice becomes overdue, GenWright may pause work, delay delivery or launch, withhold final deliverables or suspend support until payment has been received.
6.4 Refunds
Refunds and cancellations are governed by GenWright's Refund Policy and any project-specific agreement.
7. Intellectual Property
7.1 Client Materials
The client retains ownership of original materials supplied to GenWright and grants GenWright permission to use those materials as reasonably necessary to complete the project.
7.2 Final Deliverables
Unless otherwise agreed, ownership of the agreed final custom deliverables transfers to the client once all related invoices have been paid in full.
7.3 GenWright Intellectual Property
GenWright retains ownership of its pre-existing intellectual property, methodologies, frameworks, reusable components, libraries, development utilities and internal working methods.
7.4 Third-Party Materials
Third-party software, plugins, fonts, APIs, stock assets and other licensed materials remain subject to their respective licences.
8. Custom Business Systems
8.1 Requirements
Custom systems are developed around the workflows, functionality, users and requirements agreed during the project.
The client is responsible for accurately communicating relevant business processes, user roles, permissions and operational requirements.
8.2 Requirement Changes
Changes to workflows or requirements after design or development begins may result in additional cost or a revised timeline.
8.3 Third-Party Services
Where a system depends on external hosting, APIs, databases, cloud services or other providers, GenWright cannot control changes to their pricing, availability or functionality.
9. Data Protection
9.1 GenWright as Controller
GenWright generally acts as a data controller for personal information collected for its own business purposes, including enquiries, client relationships and website administration.
9.2 GenWright as Processor
Where GenWright processes personal information solely on behalf of a client through a custom system or related service, GenWright may act as a data processor.
The distinction between controller and processor is reflected in the data-protection templates you uploaded
9.3 Data Processing Agreements
Where required, GenWright and the client may enter into a separate Data Processing Agreement governing such processing.
10. Launch, Support and Maintenance
10.1 Post-Launch Support
Where post-launch support is included, the applicable project agreement will specify its scope and duration.
10.2 Bugs and New Work
A bug generally means delivered functionality does not behave according to the agreed requirements.
New pages, features, integrations, workflows or functionality are not normally considered bug fixes and may require additional fees.
10.3 Ongoing Maintenance
Ongoing maintenance is only included where expressly agreed.
11. Portfolio Use
Unless otherwise agreed, GenWright may display completed and publicly released work in its portfolio, case studies, proposals, social media and promotional materials.
Confidential information will not knowingly be disclosed.
If the project must remain private, this should be agreed before work begins.
12. Results and Performance
GenWright may design projects around objectives such as clearer positioning, improved credibility, stronger conversion, better usability or improved operational efficiency.
Unless specifically agreed in writing, GenWright does not guarantee particular levels of revenue, leads, traffic, conversion, rankings, sales or operational savings.
13. Ending a Project Early
13.1 Client Cancellation
If a client ends a project after work has started, completed work remains payable and work already in progress may be charged proportionally.
13.2 Third-Party Costs
Any unrecoverable external expenses remain payable.
13.3 Refunds
Any eligible refund will be calculated according to GenWright's Refund Policy and the relevant project agreement.
14. Limitation of Liability
GenWright will provide its services with reasonable professional care.
To the fullest extent permitted by law, GenWright will not be responsible for indirect or consequential losses, including lost revenue, profits or business opportunities.
Where liability cannot legally be excluded, GenWright's total liability relating to a project will generally not exceed the amount paid to GenWright for that project, except where applicable law requires otherwise.
15. Force Majeure
Neither party will be responsible for reasonable delays caused by events outside their control, including major infrastructure outages, natural disasters, serious illness, government action or similar circumstances.
Where such an event affects delivery, the project timeline may be adjusted reasonably.
16. Governing Law
These Terms are governed by the laws of England and Wales.
Any dispute arising from these Terms or a GenWright project will be subject to the courts of England and Wales, unless otherwise agreed in writing or required by applicable law.
